Aegis Integrates all its Market Research Activities into Aegis Research
13 March 2001
Aegis Group plc - the media communications and market research group - announced today that its subsidiary, Market Facts Inc., has acquired Copernicus: The Marketing Investment Strategy Group Inc. ("Copernicus"), the US-based marketing consultancy group, for a maximum cash consideration of $16.5 million.
Copernicus provides marketing consultancy and research services to a number of blue chip clients including AT&T, ExxonMobil and IBM. These services, which include marketing strategy, marketing planning, market simulation, implementation coaching and marketing performance measurement metrics, are based on proprietary technology and complement the existing portfolio of products and services within Aegis Research, of which Market Facts is part.
Under the terms of the deal, Aegis will pay an initial consideration of $6.0 million and make deferred payments worth up to a maximum of $10.5 million over a period of three years, subject to challenging performance criteria being met.
The acquisition of Copernicus is consistent with Aegis’ strategy of developing leading global positions in both media services and market research by expanding its range of products and services to meet the changing needs of its clients. Aegis first moved into the market research business through the acquisition of Market Facts in June 1999.
Commenting on the acquisition Aegis’Chief Executive Doug Flynn, said:
"Since the acquisition of Market Facts in 1999, we have extended our market research offering by acquiring high quality complementary businesses. Copernicus extends the portfolio of products and services that we can offer our clients through our recently formed global research network, Aegis Research."
